This quote will be the actual cost for most customers. Some specialized home features like outdoor kitchens or pool houses may add additional maintenance costs to the plan. Our team will evaluate these during our onboarding process to get you the final price before setting up billing.

Effective Date:
The Client desires to engage R&D Property Ventures, LLC, doing business as Ambassador Home Maintenance to perform recurring home maintenance services, and the Contractor agrees to provide such services under the terms of this Agreement.
The Contractor will provide general home maintenance, preventative services, and property assessments as described in separate service plan documentation or written work orders. Additional services may be provided as mutually agreed in writing. The Contractor does not perform licensed trade work (such as electrical, plumbing, structural, or HVAC requiring permits) unless done under a separate agreement with a licensed affiliate or subcontractor. Contractor's services are preventative in nature and do not constitute a home inspection, appraisal, or code compliance verification under Arkansas law.
This Agreement begins on the Effective Date and continues for twelve (12) months (Initial Term). It will automatically renew for successive twelve-month terms unless either party provides written notice at least five (5) business days before the current term ends. Either party may terminate this Agreement with thirty (30) days' written notice. Early termination by the Client may incur a fee equal to $100 or the remaining balance of prepaid services, whichever is less. Termination does not relieve payment obligations for services already rendered.
The Client agrees to pay monthly or annual service fees as invoiced or as otherwise agreed in writing. Invoices are due upon receipt. The Client authorizes recurring payment charges to the method on file. All applicable sales taxes will be added to charges. The Contractor may bill separately for parts, materials, and subcontracted work, and may apply up to a 10% materials markup. The Client agrees to reimburse the Contractor for any pre-approved expenses reasonably incurred during the performance of services.
The Client shall provide safe and reasonable access to the property, utilities, and any required system information (e.g., square footage, number of systems, etc.). Ensure all pets, hazards, or obstructions are managed to allow work to be performed safely. Notify the Contractor promptly of any conditions that may impact safety or access. Unsafe or inaccessible areas may result in rescheduling, additional charges, or exclusion from service.
Any additional or modified work outside the standard scope must be approved by the Client in writing (digital or paper). If an emergency condition is discovered that poses immediate risk to property or safety, the Contractor may perform temporary stabilization or repairs necessary to prevent damage. The Client will be notified and billed at standard hourly rates for such emergency work.
The Contractor may take photographs or videos of the Client's property for documentation, maintenance tracking, or quality assurance. Non-identifying images may be used for marketing or educational purposes unless the Client opts out in writing. The Contractor retains ownership of all images and agrees not to disclose identifying information without the Client's written consent.
The Contractor is an independent contractor, not an employee of the Client. The Contractor is solely responsible for taxes, insurance, and employee benefits. The Contractor may engage qualified subcontractors to perform portions of the work. All subcontractors shall be considered agents of the Contractor for indemnification and insurance purposes. The Client agrees not to directly employ or solicit any subcontractor introduced by the Contractor for related work without written consent.
Each party agrees to indemnify and hold the other harmless from claims, damages, or losses arising from their own negligence or misconduct. The Contractor maintains general liability insurance, and proof of coverage is available upon request. The Contractor's total liability for any claim, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the Client in the preceding twelve (12) months under this Agreement. The Contractor is not liable for pre-existing conditions, latent defects, or concealed damage not reasonably discoverable during service; damage caused by repairs or recommendations declined by the Client; or subsequent failures or issues arising after service completion. Neither party shall be liable for indirect, incidental, or consequential damages.
Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, acts of government, labor disputes, or supply chain interruptions.
Both parties agree to attempt good-faith resolution of disputes. Unresolved matters shall be submitted to binding arbitration in Washington County, Arkansas, in accordance with the rules of the American Arbitration Association (AAA). The Client may opt out of arbitration within fourteen (14) days of signing this Agreement by providing written notice. This Agreement is governed by the laws of the State of Arkansas.
Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements. Modifications: Any amendment or modification must be in writing and signed by both parties. Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full effect. Notice: Notices shall be deemed delivered when sent to the mailing or email addresses listed above unless updated in writing by either party. Assignment: Neither party may assign this Agreement without written consent of the other.
